Strategic Relationships
Participate with management in negotiating and drafting agreements with distributors, licensors and strategic partners and coordinate with outside legal specialists where situation requires
Equity and Debt Financings
Assist in search for sources of financing, draft and negotiate term sheets, assist in due diligence disclosure preparation, provide advice regarding transaction issues and coordinate with outside counsel during negotiations and completion of transaction
Employment and Equity Compensation
Draft standard employment offer letters and agreements, confidentiality agreements and restricted stock and option plans and coordinate with outside legal specialists to ensure tax and SEC compliance
Board Meeting Attendance and Counseling
Attend board meetings, keep minutes and provide counsel relating to strategic matters, conflicts of interest, director and officer liability and other corporate governance issues
Corporate Maintenance
Prepare, distribute and collect consents and coordinate minute book and stock ledger maintenance with outside counsel
