Steve Cagnetta is a founder and Principal of Company Counsel. He has extensive experience in the areas of business and commercial law, corporate law, venture capital, mergers and acquisitions and securities law. He has advised emerging and established private and public companies on a variety of business matters, including general corporate matters, structuring, negotiating and closing acquisitions, private equity financings, initial public offerings, licensing agreements, commercial contracts and employment agreements. He has provided strategic advice to these companies on matters such as director and officer liability, joint ventures, employment and compensation issues and securities issues. In addition, he has represented venture and angel groups, in numerous seed, mezzanine and late stage equity and subordinated debt financings.

Steve participates in the MIT Enterprise Forum, the Cambridge Business Development Center, the Small Business Association of New England, the Merrimack Valley Venture Forum, and the Boston and Massachusetts Bar Associations. He has been a panelist at events focusing on venture capital and start-up issues.

Steve serves as a member of the Board of Directors of several for-profit privately held companies and as a member of the Board of Trustees for the Christa McAuliffe Regional Charter Public School, a public charter school serving middle school students in the Boston's metrowest region.

Prior to founding Company Counsel, Steve practiced at Hutchins, Wheeler & Dittmar, in Boston and at O'Connor, Broude and Aronson in Waltham. Before entering private practice, Steve was a Lieutenant in the U.S. Navy Judge Advocate General's Corps, where he served as a prosecutor and staff counsel to Commander, Submarine Group Two, in Groton, Connecticut.

He received his Juris Doctor, from Boston University and his Bachelor of Arts, magna cum laude from Muhlenberg College. Steve is admitted to the bar of the Commonwealth of Massachusetts.
